Terms of Service

Effective date: June 11, 2026 · Oliwka Software LLC ("Oliwka", "we", "us")

These terms govern the GEM website and the GEM Cloud hosted service. The open-source GEM software is licensed separately under the GNU AGPL-3.0; nothing here limits your rights under that license for self-hosted use.

1. The service

GEM Cloud provides a hosted, managed instance of GEM: a management console for Google Workspace environments you administer. You connect environments by granting OAuth consent as (or with the authorization of) that environment's administrator.

2. Your responsibilities

  • You confirm you are authorized to administer every Google Workspace environment you connect — your own, or a client's under an agreement that permits it.
  • Actions you take in GEM (suspending users, offboarding, deleting groups, automation policies) execute against real Google Workspace accounts. You are responsible for the actions you and your staff initiate.
  • Keep your credentials secure and your team's access appropriately scoped using GEM's role controls.
  • Don't abuse the service: no attempts to breach instance isolation, no use that violates Google's terms or applicable law.

3. Your data

Data in your instance — synced directory metadata, configuration, audit history — is yours. We process it only to provide the service, as described in the privacy policy. On termination we destroy your instance and its keys; encrypted backups age out within 30 days.

4. Beta status

GEM Cloud is currently offered as a beta. Features may change, and despite our best efforts (isolated instances, encrypted backups, staged upgrades) the service is provided without uptime guarantees during the beta period. Beta pricing and terms will be confirmed in writing before any charge.

5. Fees

Paid plans are billed in advance on a recurring basis. We'll give at least 30 days' notice of price changes. You can cancel at any time, effective at the end of the current billing period. Nonpayment may result in suspension of your instance after notice.

6. Intellectual property

The GEM software is open source under the AGPL-3.0. These terms cover the hosted service — our infrastructure, operations, and this website. "Google Workspace" is a trademark of Google LLC; GEM is an independent project, not affiliated with or endorsed by Google.

7. Disclaimers and liability

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Oliwka's total liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months preceding the claim, and neither party is liable for indirect, incidental, special, or consequential damages.

8. Termination

You may stop using the service at any time. We may suspend or terminate service for breach of these terms, nonpayment, or risk to the platform or other customers, with notice where practicable.

9. Governing law

These terms are governed by the laws of the State of [STATE — to be confirmed], excluding its conflict-of-law rules.

10. Changes

We may update these terms; material changes will be announced to customers in advance. Continued use after the effective date constitutes acceptance.
